One person Company (OPC) refers to a company that has only one person as its member. It can be formed only by the residents of India. 
To incorporate an OPC only 1 director is required and there is no minimum capital requirement. An OPC can be formed with least amount of capital.

Procedure of Registering an One Person Company


Apply for DSC and DIN

The first step is to obtain Digital signature certificate (DSC) and Directors identification number (DIN) of the proposed director in Form DIR-3.

 

Apply for name

The next step is to decide a company name which

·         Should not be similar to some other company name, Should not be prohibited under the ‘Emblems and names Act 1950’, and Name of company must affix “one person company”.

RUN shall be used for checking the name availability.

Once the name is approved, applicant shall apply for registration by filling FORM SPICe-32.

 

Preparation of MOA and AOA

·         This step involves preparation and filing of Memorandum of Association (MOA) which defines the object of company and Articles of Association (AOA) which defines the rules and regulations of company in Form SPICe-MOA and SPICe-AOA respectively.

·         A nominee has to be appointed in Form INC-3 along with his PAN and Aadhar card.

·         A declaration and affidavit from directors in Form INC-9 and DIR-2 is also filed.

 

Issue of Certificate of Incorporation

Once the documents are verified, Certificate of Incorporation (COI) will be issued

 

Application for PAN and TAN

Once company is incorporated, application for company’s PAN and TAN is to be filed.
